HONEST CARE - TERMS OF USE

Please read these Terms of Use ("Terms") carefully before using the services offered by Destiny Labs LLC d/b/a Honest Care ("Honest Care," "we," "us," or "our"). These Terms govern your access to and use of our websites, applications, content, and other products and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

1. Contractual Relationship

These Terms constitute a legal agreement between you and Honest Care. By accessing or using the Services, you confirm your acceptance of and agreement to be bound by these Terms. If you do not agree, do not use the Services.

We may amend these Terms at any time. Changes will be effective upon posting. Your continued use constitutes acceptance of those changes.

2. No Medical Advice

Honest Care does not provide medical advice or act as a medical provider. Our Services, including any generated content such as appeal letters, are for informational purposes only. They do not substitute for professional medical advice, diagnosis, or treatment. You should consult your physician or other healthcare providers with any medical questions.

Use of our Services does not establish a provider-patient relationship. If you are experiencing a medical emergency, call 911 immediately.

Honest Care is not a healthcare provider or health plan, and is therefore not a HIPAA-covered entity under federal law. However, we are committed to protecting the privacy and security of user-submitted health information and use technical safeguards, including HIPAA-compliant tools, where appropriate.

3. Eligible Users and Authorized Representatives

You must be at least 18 years old and reside in the United States or its territories to use our Services. By using the Services, you represent and warrant that you meet these requirements.

You may create or manage an account, complete an Assessment, and submit an appeal on behalf of another individual (for example, a spouse, dependent, or family member) only if you have that individual’s express permission or other applicable legal authority to act for them. When you act as an authorized representative:

  • You agree that all obligations, acknowledgments, and responsibilities in these Terms apply to you as the account holder/representative.
  • You represent and warrant that all information you provide is true, complete, and submitted with the knowledge and consent of the individual concerned.

You may not create an account for, or submit information about, any person for whom you do not have such authorization, and you must not otherwise impersonate any person or misrepresent your identity to Honest Care.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Honest Care relies entirely on the information you provide. While users are encouraged to provide accurate and complete information to improve the quality of the appeal, Honest Care understands that some users may inadvertently omit or misstate facts. Users are responsible for reviewing and editing the final appeal letter and supporting documents before submission. Honest Care is not liable for any resulting loss, denial of coverage, or errors stemming from the information you provide.

4. Description of Services

Honest Care provides technology-enabled tools to assist users in preparing and filing appeals of health‑insurance prescription‑drug coverage denials. The core Services currently include:

  • Online Assessment. A guided questionnaire that gathers demographic, insurance, medication, and medical‑history information.
  • Appeal‑Letter Generation. Automated and/or manual creation of a draft appeal letter on the user’s behalf.
  • Supporting‑Document Compilation. Depending on your selected service tier and individual circumstances, Honest Care may offer limited guidance in identifying and organizing supporting materials such as medical records and denial letters. Not all users will receive assistance in document preparation. You are responsible for determining which documents to include, and for ensuring their accuracy and completeness.
  • Outbound Fax Service (optional). A technical utility that allows users to transmit their selected documents to a fax number of their choosing.

Honest Care does not guarantee that an appeal will be successful. The effectiveness of the appeal depends on multiple factors, including (but not limited to): the accuracy and completeness of the information you supply; whether you meet the insurance provider’s clinical criteria for the medication; the specific formulary and coverage policy applicable to your insurance plan; and the discretion and judgment of the individual or entity reviewing your appeal. We rely solely on the information you provide and do not verify its accuracy or assess your clinical eligibility.

4.1  Fax Service – Important Terms

Fax transmission services are provided through a third-party provider, currently Documo, which offers HIPAA-compliant fax capabilities. Honest Care is not a HIPAA-covered entity and does not operate as a healthcare provider or health plan. However, we take privacy and security seriously and utilize third-party services, such as Documo, that offer HIPAA-compliant capabilities for certain features, including outbound fax transmission (see Section 2 for additional details). While the fax provider meets industry standards for secure transmission, Honest Care does not review, monitor, or retain faxes and cannot guarantee successful delivery or receipt.

The outbound fax utility (the “Fax Service”) is offered for your convenience. By using the Fax Service, you acknowledge and agree to the following:

  1. User‑Directed Transmission. You, not Honest Care, select the documents to fax, determine their sequence, and enter the destination fax number. Honest Care does not independently verify these inputs.
  2. Outbound‑Only. Honest Care’s fax number can send faxes but does not receive incoming faxes. We will not accept, store, or forward fax communications sent to Honest Care on your behalf.
  3. No Agency or Representation. Honest Care transmits your fax as a technical intermediary only. We do not act as your authorized representative or signatory.
  4. Delivery Not Guaranteed. Fax technology is subject to transmission errors and recipient server limitations. Honest Care makes no warranty that any fax will be received, on time or at all.
  5. User Responsibility for Errors. You are solely responsible for:
    • ensuring the fax number is correct;
    • confirming that the selected documents are complete, in the desired order, and free of sensitive information you do not wish to share;
    • verifying delivery (e.g., by checking your confirmation page or following up with the recipient).
  6. Limitation of Liability. Honest Care shall not be liable for any loss, damages, or denied coverage arising from mis‑dialed numbers, transmission failures, wrong or incomplete documents, or any failure by an insurer to receive or process your fax.

5. User Responsibilities and Prohibited Conduct

You agree to use the Services only for lawful and intended purposes. You may not:

  • Provide false, misleading, or fraudulent information;
  • Submit an appeal or use the Services in a manner intended to mislead insurers or circumvent eligibility requirements;
  • Use the Services to prepare appeals for medications or services you are not eligible to receive;
  • Access, scrape, or copy any part of the Services using automated means without express written permission;
  • Violate any applicable laws or regulations;
  • Copy, modify, reverse engineer, or distribute our software or content;
  • Interfere with or disrupt the integrity, availability, or performance of our Services;
  • Use the Services to transmit spam, malicious content, or unauthorized communications;
  • Act on behalf of another individual without their express authorization, or misrepresent your authority to use the Services on someone else's behalf.

6. Payments and Refunds

Certain features of the Services require payment. Pricing may vary depending on the service tier you select and whether staff involvement is included. You agree to pay all applicable fees in full before any services are rendered.

Payments are processed through a third-party payment processor, currently Stripe. By making a payment, you also agree to be bound by Stripe’s terms and conditions, including any applicable policies related to billing, refunds, or disputes.

All sales are final. Refunds are issued solely at Honest Care’s discretion and will not be provided based on the outcome of an appeal, including cases where your insurance carrier continues to deny coverage after submission. Refunds may be considered only in limited situations, such as duplicate charges or clear technical errors in processing. Honest Care is under no obligation to issue a refund under any circumstances.

7. Intellectual Property

All content, materials, and technology made available through the Services—including but not limited to software, design, text, graphics, logos, tools, templates, and any appeal letters generated—are the property of Honest Care or its licensors, and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use in accordance with these Terms. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any part of the Services without our prior written permission.

Use of Honest Care’s name, logo, or other branding elements is prohibited without our express authorization.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available." Honest Care disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that Services will be uninterrupted, timely, secure, or error-free.

9. Limitation of Liability

To the fullest extent permitted by law, Honest Care and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of, or inability to access or use, the Services;
  • Any errors, omissions, or inaccuracies in the information you provide;
  • The outcome of any insurance appeal prepared through the Services;
  • Transmission issues, including failed fax delivery;
  • Unauthorized access, use, or alteration of your transmissions or content.

As further described in Sections 2, 4.1, and 6, you use the Services at your own risk and are solely responsible for verifying any documents, fax details, and appeal content.

In no event shall Honest Care’s total liability for any claims related to the Services exceed the amount you paid, if any, for the applicable Services.

10. Indemnification

You agree to indemnify, defend, and hold harmless Honest Care, its officers, directors, employees, and agents, from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or are otherwise engaged in unlawful or inappropriate conduct.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

You agree that any disputes or claims related to these Terms or your use of the Services will be resolved exclusively through binding arbitration, administered by the American Arbitration Association under its applicable rules. Arbitration shall take place on an individual basis only, and you waive any right to participate in a class action lawsuit or class-wide arbitration.

Unless otherwise required by law, the arbitration will occur in a location reasonably convenient for both parties, or virtually, and the language of arbitration shall be English.

13. Third-Party Links

Our Services may contain links to websites, products, or services operated by third parties. These third-party sites are not owned or controlled by Honest Care, and we are not responsible for their content, policies, or practices. Inclusion of a third-party link does not imply endorsement or affiliation.

You access third-party websites at your own risk. We encourage you to review the terms and privacy policies of any third-party services you visit.

14. California Consumer Notice

Under California Civil Code Section 1789.3, California users of the Services are entitled to the following consumer rights notice:

16. Miscellaneous

  • Changes and Downtime. We may add, modify, or discontinue any part of the Services at any time.
  • License to User Content. You grant Honest Care a limited, revocable, worldwide, non‑exclusive, royalty‑free license to use, reproduce, adapt, and display the information and documents you submit solely to operate and improve the Services.
  • Feedback. Any feedback, suggestions, or ideas you provide may be used by Honest Care without compensation or restriction.
  • Assignment. We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights or obligations under these Terms without our prior written consent.
  • Force Majeure. Honest Care is not liable for any delay or failure resulting from causes outside our reasonable control, including acts of God, power outages, or telecommunications failures.
  • Severability. If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force and effect.
  • No Waiver. Our failure to enforce any right or provision under these Terms does not constitute a waiver of that right or provision.
  • Electronic Communications. You consent to receive communications from us electronically (e.g., email, in‑app messages), and you agree that such communications satisfy any legal requirement that they be in writing.
